Governing the agency agreement between Talent Himalaya trading as Talent Himalaya and you the Talent/Artists.

TERMS CONTAINED

The following are the standard terms and conditions between Talent Himalaya and you, the Artists for representation by Talent Himalaya for all work obtained through Talent Himalaya. These terms apply to all dealings between Talent Himalaya and you and contain the entire agreement between us regarding the matters contained herein and neither party shall be bound by any undertakings, representations, warranties, promises or the like not recorded herein. No alterations, cancellations, variation of or additions shall be of any force or effect unless reduced to writing and signed by a Director of Talent Himalaya.

UPDATING THESE TERMS AND CONDITIONS

Talent Himalaya may amend or alter these Terms and Conditions from time to time and you agree that you will be bound by such new Terms and Conditions as they are amended.

PERIOD OF REPRESENTATION

Talent Himalaya will actively promote and represent you as your entertainment industry agent from the date you register on Talent Himalaya. During this time Talent Himalaya will use its best endeavors to represent you for work.

TALENT HIMALAYA IS YOUR AGENT

Talent Himalaya is your agent and represents you for work but is not your employer. Agreements for work are usually between yourself and the specific productions that Talent Himalaya manages on your behalf.

TAX & SUPERANNUATION

Talent Himalaya is rarely responsible for deducting tax and paying in relation to wages of the talent. The production that employs the talent usually deducts tax and pays the wages. Talent Himalaya will only deduct tax if the production cannot such as when the production is produced by an overseas entity.

CONTRACTS FOR WORK

Most booking require the execution of a contract between the production and the Talent. You authorize Talent Himalaya, when required, to execute such contracts on your behalf as your agent. Talent Himalaya will only execute contracts on behalf of talents upon the talent having been advised of the major terms and the talent has confirmed their availability.

FEES

Costs associated with obtaining and performing work are usually deductible against your taxable income however you should confirm this with your tax advisor. Should you decide to no longer have Talent Himalaya act as your agent or if Talent Himalaya cancels your registration in accordance with these terms it is not possible to refund any fees or commissions paid to or retained by Talent Himalaya.

COMMISSIONS

You agree that Talent Himalaya may retain a commission of the gross wages earned by talent in relation to his or her employment on all amounts earned by the talent where such work was introduced or was as a result of being introduced directly or indirectly by Talent Himalaya. Gross wages also include any additional payments, renewals, additional territory fees, bonuses, winnings or prizes directly or indirectly associated with such work.

PAYMENT FOR WORK

If a talent is being managed by Talent Himalaya, then Talent Himalaya will only pay Talents once payment has been received from the particular production. Talent Himalaya requires productions to pay within 7 days of them receiving our invoice. However, productions usually take longer to make payment and talent must be prepared for such delays. We usually send productions an invoice within 7days after the work so talents should expect to receive their payment in around 2-4 weeks for film or television work. Please ensure Talent Himalaya has correct bank account details as payments are made directly to your nominated bank account.

CANCELING OR SUSPENDING REGISTRATION/MANAGEMENT WITH TALENT HIMALAYA

A talent/artist may cancel or suspend registration/listing with Talent Himalaya by notifying Talent Himalaya in writing by either mail, fax or email of their decision to do so. And, if suspending, state the period required. Talent Himalaya may cancel registration of the talent if we believe the talent has committed misconduct in relation to work. This may include a talent not attending work when booked without advising the production or failing to attend work when booked without reasonable excuse. We may suspend your registration if we cannot get in contact with you via the contact details you have provided. It is your responsibility to notify us of changes. Such notification should be done via email to info@talenthimalaya.com Talent Himalaya may cancel representation if the talent has remained suspended for longer than 12 months.

AGENCY INFORMATION

OVERVIEW

Talent Himalaya operates as a talent agency and represents and promotes talents/artists for work in various productions. Talents/artists are usually submitted to casting directors that productions appoint. The casting directors usually submit a requirement/brief seeking talent for the production. This may include everyone required from principal roles through to background extras. It is then up to us to put forward talent that we think suit the descriptions the casting directors have given. We do this either by emailing photos and details or by submitting online the talent we recommend. If the role is featured (other than being part of a crowd scene) there is usually a casting or audition and the casting director will advise from those we have submitted who they would like to see. If it is just a background extras role there is not normally an audition and we are usually supplied a list of people the production would like to use. We then contact the relevant talent to book.

DEFINITIONS

Talent Agent - A person or business that represents performers for work in film, television and the entertainment industry. In this case Talent Himalaya.

Casting Agent/Casting Director - A person or business that works on behalf of a production to cast the required roles of the particular production.

Call Time - The time you are required at the specified location and ready to take direction. You should arrive at least 20 minutes prior to your call time to ensure you are ready.

Recall/Call Back - A recall or callback is when you have been to a casting or audition and the production wishes to see you again.

Wardrobe - Prior to commencing the production you may be required for wardrobe fitting, this may happen at any time prior to the performing days. Some wardrobe calls require you to supply your own clothes, if this is ever the case please take more than required and a selection of footwear.

Extra (also known as walk-ons) are persons who are part of a crowd, ensemble or atmospheric scenes, and who appear only incidentally or in backgrounds, do not speak dialogue except in the mass and who are, in accordance with industry practice, not featured.

CYBER WARNING: BEWARE OF FRAUD

Talent Himalaya is committed to the online safety and security of artists and models. Individuals impersonating Talent Himalaya representatives might attempt to solicit and exploit talents on the internet. These individuals may attempt to contact you through online social media platforms or e-mail and arrange interviews using Skype or webcams. Talent Himalaya will never contact you in this manner and does not recruit its models through e-mail solicitations. If you are solicited to engage in an online interview by anyone claiming to be a representative of Talent Himalaya, please immediately call +975-02-332701 or e-mail info@talenthimalaya.com.

Below is some information to help keep you safe online:

  • Do not disclose personal information about yourself online like your home address, date of birth or other personally identifiable information.
  • Beware of requests to perform modeling interviews via Skype. Talent Himalaya does not conduct interviews via Skype, we never request photos in the nude or in lingerie.
  • And we never require the payment of money to audition.
  • Be cautious of urgent requests. Cyber criminals will often create a sense of urgency when trying to defraud you. Try to verify the identity of individuals you are communicating with online by calling or emailing the company they claim to work for.
  • Never reply to emails that request your credit card details, password or other data. Talent Himalaya will NEVER request such data by email.
  • If you are the victim of an online scam, please report it to Royal Bhutan Police at 113.
